NORWEGIAN CRUISE LINE HOLDINGS LTD. ANNOUNCES FLEET EXPANSION FOR OCEANIA CRUISES IN 2016

MIAMI – (Nov. 25, 2014) – Norwegian Cruise Line Holdings Ltd. (Nasdaq: NCLH) today announced a definitive agreement with Princess Cruises, Ltd. to purchase Ocean Princess for its newly acquired Oceania Cruises brand. The 684-passenger ship joins Oceania Cruises' trio of award-winning sister ships Insignia, Regatta and Nautica. The new addition will be named Sirena.


Upon delivery in March 2016, Sirena will immediately undergo a 35-day, $40 million refurbishment in Marseille, France to elevate the ship to the Oceania Cruises' standard of elegance. Drawing on the recent transformation of Insignia as inspiration, the ship will feature Oceania Cruises' renowned specialty dining restaurants, Toscana and Polo Grill, along with more recent additions to the fleet such as Baristas and the cook-to-order grill at Terrace Café. The ship will welcome her first guests in late April 2016.


The addition of Sirena, along with the recently completed refurbishment of Insignia, Nautica and Regatta, demonstrates Oceania Cruises' unwavering commitment to mid-size ships and destination orientated cruising. With Sirena, Oceania Cruises will expand the number and diversity of destination-rich itineraries offered, appealing to both seasoned world travelers and passionate cruisers.

MIAMI, Fla – (October 28, 2014) – Widely recognized for curating one of the more exquisite art collections at sea, Oceania Cruises announced today the debut of their Art Collection Audio Tour onboard the award-winning Marina and Riviera beginning Nov. 1, 2014. Narrated by Oceania Cruises Founder, Chairman and CEO Frank J. Del Rio and Co-Founder and Vice-Chairman Bob Binder, the complimentary tour provides stories and descriptions behind many of the more than 2000 original works adorning the mid-size ships. The collection of museum-worthy art was personally acquired by Del Rio and Binder over a period of years and includes well-known stars as well as hidden gems – reflecting the way the line approaches itineraries.


As they stroll about the ship admiring the collection, guests will be entertained by Del Rio and Binder's recorded commentary with behind-the-scenes tales of the art acquisitions found on the ship. While the two executives have a great appreciation for the arts, the light-hearted and often comical commentary implies that they do not consider themselves professional art curators, yet the narration reveals their immense passion and enthusiasm for the two ships.


The audio devices for the Oceania Cruises Art Collection Audio Tour are available to guests as a complimentary amenity and include recorded insights on more than 25 signature pieces of art on each ship. The pieces of art included in the tour feature a placard with a number and an audio device symbol, and guests can simply enter the number into the player keypad to hear the story behind the piece.


"We created the Oceania Cruises Art Collection Audio Tour and also published a book, The Oceania Cruises Art Collection, at the request of our guests, who are really enamored by the artwork onboard Marina and Riviera," shares Del Rio. "We hope the tour will enhance the guest's appreciation of the collection by sharing what inspired the artist, and what attracted us to the piece, but in a light-hearted way that will have anyone that knows us saying, 'Here they go again.'"


While most cruise lines hire a third party to curate decorative art for their ships, the two Oceania Cruises executives traveled the globe hand-selecting every piece of art. From the masters Picasso and Miró to the modern art of Robert Mars and Damien Hirst, to emerging artists such as Li Domíguez Fong and Carlos Luna, the diverse collection spans a number of eras and genres. In a nod to Chairman Del Rio's Cuban heritage, the collection features an array of celebrated Cuban artists, including Wifredo Lam, Cundo Bermúdez and René Portocarrero.


"Frank and I decided to personally choose each piece of artwork for the ship, which led to frequent debates over which of us has better taste in art," explains Binder. "We selected pieces that are bold and interesting, that make a statement, provoke conversation and inspire emotion, much like the ships themselves. MIAMI, Fla – (Sept. 17, 2014) – World-renowned master chef and Oceania Cruises Executive Culinary Director, Jacques Pépin, will host a special sailing onboard Riviera in 2015 and it promises to be a family affair. The legendary chef's daughter Claudine, co-Host of Jacques' award-winning "Cooking with Claudine" television series, and his granddaughter Shorey will join Pépin and his wife Gloria on the 10-day Iberian Inspiration departing Lisbon for Rome on July 7, 2015. Oceania Cruises Unveils Winter 2015-2016 Season Highlights Include 27 New Itineraries and 12 New Ports of Call

MIAMI, Fla – (Sept. 11, 2014) – Oceania Cruises announced its 2015-2016 Winter Collection, revealing a lineup that features a variety of longer, destination-rich itineraries traveling to ports in South America, Asia, South Africa, the South Pacific and Caribbean. Of the 42 itineraries, 32 are voyages of two-weeks in length or longer, and 27 sail on unique itineraries never before offered by the upper-premium line. Sprinkled among the winter itineraries are 12 new exciting destinations not previously visited by Oceania Cruises ships, including Jeju, South Korea and Luderitz, Namibia.


The Winter Collection will stretch the Oceania Cruises fleet to all four corners of the globe, including two Amazon River voyages in South America, six transits of the Panama Canal, a roundtrip Cape Town sailing exploring the southern tip of Africa, and multiple overnight stays in dream destinations across Asia.


With three ships crisscrossing Asia, Australia and the South Pacific this winter, several of the new destinations for Oceania Cruises are located in this region of the world. The new ports of call include:


Boracay Island, Philippines Cooktown, Australia Sanya, China
Eden, Australia Gisborne, New Zealand Shimizu, Japan
Jamestown, Saint Helena Jeju, South Korea Luderitz, Namibia
Norfolk Island, Australia Raroia, French Polynesia Newcastle, Australia

With such an elaborate array of itineraries, the breakdown below outlines in more detail the regions and destinations where the five-ship Oceania Cruises fleet will sail in winter 2015-2016.


Regatta
Regatta will bridge the Americas, spending time in North, South and Central America, while calling on some Caribbean ports along the way. Itineraries include two new cruises that explore the Amazon River and four voyages that traverse the Panama Canal. Sailings will visit Peru, Chile, Brazil, Costa Rica, Argentina and many more exotic locales before heading up to the Pacific Northwest for the ship's summer season in Alaska.


Insignia
Insignia will depart from Miami on Jan. 4, 2016, for an incredible Around the World in 180 Days voyage. This epic cruise is the latest in a series that represents the most comprehensive and port-intensive world exploration opportunity available in the cruise industry.


Nautica
Nautica will call Asia and South Africa home for a series of eight unique itineraries, six of which are new routes for this region. The itinerary line-up includes a wealth of overnight stays in popular destinations such as Singapore, Bangkok, Ho Chi Minh City, Ha Long Bay, Shanghai, Beijing, Tokyo, Cape Town, Walvis Bay in Namibia, and many others. The schedule also includes an incredible 35-day voyage from Hong Kong to Istanbul that traverses the Suez Canal.


Marina
Marina opens the season with back-to-back South American voyages that will explore Brazil, Uruguay, Argentina and Chile. The ship will then set sail for the South Pacific with seven unique itineraries exploring several popular ports in French Polynesia, Fuji, Samoa Islands, Australia and New Zealand.


Riviera
Riviera will spend the winter months in the sunny Caribbean, with voyages ranging from seven to 14 days in length. The ship will split time between the eastern and western Caribbean and will offer a special 12-day holiday sailing that will visit St. Barts, Martinique, Barbados, St. Lucia, Antigua, Grenada and Puerto Rico.

OCEANIA CRUISES ENHANCES ONBOARD EXPERIENCE BY INCLUDING FREE INTERNET

MIAMI, Fla – (Sept. 9, 2014) – Today, Oceania Cruises announced plans to provide complimentary Internet access to guests booked in either a suite or Concierge Level stateroom on any of its five award-winning mid-size ships. This is the first time the upper-premium cruise line has offered a free Internet program, with the new benefit commencing during the 2015 winter season.


As part of the program, guests booked in Owner's, Vista and Oceania suites will receive unlimited complimentary Internet access to enjoy throughout their voyage. Guests booked in Penthouse suites or Concierge Level staterooms will receive blocks of complimentary Internet time based on cruise length, starting with 200 minutes for a seven-night cruise and extending to 500 minutes for voyages over 16 nights.


Being an upper-premium brand, Oceania Cruises ships feature a larger number of Concierge Level and above accommodations, which means this free Internet program will cover more than 55 percent of all guests sailing on Marina and Riviera, and nearly half of all guests sailing on Regatta, Insignia and Nautica. Guests will be able to take advantage of the free Internet either through the ship's Wi-Fi system or at the Oceania@Sea Internet café. Oceania Cruises recently upgraded the Wi-Fi system across the fleet to increase bandwidth and provide connectivity throughout the entire ship, including all public spaces, outdoor decks and all suites and staterooms.

NORWEGIAN CRUISE LINE HOLDINGS LTD. AGREES TO ACQUIRE PRESTIGE CRUISES INTERNATIONAL, INC. FOR $3.025 BILLION

MIAMI – September 2, 2014 – Norwegian Cruise Line Holdings Ltd. ("Norwegian Cruise Line" or "Norwegian," (NASDAQ: NCLH)), a leading global cruise operator, today announced it has entered into a definitive agreement to acquire Prestige Cruises International, Inc. ("Prestige"), the market leader in the upscale cruise segment and parent company of Oceania Cruises and Regent Seven Seas Cruises, in cash and stock for a total transaction consideration of $3.025 billion, including the assumption of debt.


"The acquisition of Prestige represents an extraordinary opportunity for Norwegian Cruise Line to expand our market presence by adding two established, award-winning brands in the upscale cruise segment with loyal followings," said Kevin Sheehan, Norwegian Cruise Line's chief executive officer. "Not only does this acquisition immediately enhance our financial performance, but it also deepens the bench of talent that we have been developing over the years. Our complementary strengths and skillsets will pave the way for new cross-selling opportunities, cross-brand collaboration, cross-business support, as well as joint partnerships which, coupled with meaningful synergies that can be quickly implemented, will provide solid accretion to earnings per share and drive long-term shareholder value," added Sheehan.

Prestige operates eight ships and approximately 6,500 berths under two segment-leading brands. Oceania Cruises is the market leader in the upper-premium cruise segment with five ships offering destination-oriented cruise vacations to more than 330 ports around the globe, gourmet culinary experiences, elegant accommodations and personalized service. Regent Seven Seas Cruises is the market leader in the luxury cruise segment and operates three award-winning, all-suite ships, with an additional ship on order for delivery in summer 2016. Regent offers the industry's most inclusive luxury vacation experience visiting over 250 destinations worldwide. Frank Del Rio will remain chief executive officer of Prestige.

Transaction Rationale

The compelling rationale to acquire Prestige includes:

  • The diversification of cruise market segments by adding upper premium and luxury brands;
  • The further enhancement of industry-leading financial metrics;
  • Opportunities for synergies and the sharing of best practices among brands;
  • An increase in economies of scale providing greater operational leverage;
  • The expansion of growth trajectory and global footprint; and
  • The opportunity to complement Norwegian’s new build program with the existing Regent order that provides measured, orderly capacity growth through 2019.

Transaction Details

The total transaction consideration of $3.025 billion includes the assumption of debt. Additionally, a contingent cash consideration of up to $50 million to Prestige shareholders would be payable upon achievement of certain 2015 performance metrics.


In early July, Norwegian's Board of Directors formed a Transaction Committee and delegated it full authority to negotiate and approve a transaction. The Committee consisted entirely of disinterested directors. Genting Hong Kong Limited and certain funds affiliated with TPG Capital, each of whose consent was required pursuant to Norwegian's existing shareholders' agreement have consented to the transaction. The Transaction Committee, who retained its own financial and legal advisors, has unanimously approved the transaction. The transaction is subject to regulatory approvals and other customary closing conditions and is expected to close in the fourth quarter of 2014.


Norwegian will finance the acquisition with existing cash, new and existing debt facilities and the issuance of approximately 20.3 million shares of its common stock. Pursuant to the requirements of NASDAQ Rule 5635, holders of a majority of Norwegian's common stock have consented to the issuance of such shares.


Barclays is acting as lead financial advisor to Norwegian, Deloitte Consulting, LLP is acting as diligence advisor and Weil, Gotshal & Manges LLP is providing legal counsel. UBS Investment Bank is acting as financial advisor to Prestige and Paul, Weiss, Rifkind, Wharton & Garrison LLP is providing legal counsel. Perella Weinberg Partners is acting as financial advisor to the Transaction Committee of the Norwegian Board of Directors and Cravath, Swaine & Moore LLP is providing legal counsel. J.P. Morgan Securities LLC and Deutsche Bank are also serving as financial advisors to Norwegian. Barclays, J.P. Morgan Securities LLC and Deutsche Bank have provided committed financing to Norwegian to support the acquisition.

MIAMI, Fla (Aug. 21, 2014) – Today, Oceania Cruises announced another expansion to its popular Culinary Discovery Tours by unveiling new experiences for St. Lucia and Antigua that are set to debut during the upcoming Caribbean season aboard Riviera. Already widely recognized as the cruise line for foodies, Culinary Discovery Tours provide Oceania Cruises guests with epicurean interests a unique opportunity to explore local food markets, vineyards, farms and restaurants with a knowledgeable chef from the Bon Appétit Culinary Center.

St. Lucia - Spices Cooking Studio
After assembling at the Bon Appétit Culinary Center, guests begin the tour with a scenic drive through Rodney Bay Village to a magnificent private estate situated on the grounds of a former sugar cane plantation on the Atlantic side of the island. Guests explore an expansive herb garden at the estate before heading to inside the home for some hands-on cooking instruction. Using fresh, local ingredients, guests will prepare a menu of authentic Saint Lucian cuisine while learning about the subtleties of flavor and historical influences from the chef. Once the cooking process is complete, guests will enjoy their creations while taking in the natural vistas surrounding the property. On the return drive to the pier, guests will stop at the bustling open-air Castries Market, where farmers have brought locally grown fruits, vegetables and spices to market for nearly 100 years.

Antigua - Market Visit & Cooking Demo
Guests will enjoy a short ride to the center of downtown St. John's and walk the local market with their Bon Appétit Culinary Center chef, who will show them a wide variety of typical local fruits such as breadfruit, mangoes, sour sap and dasheen. Afterwards, guests will make the short, but scenic, journey through the city of St. John's to the charming Villas at Sunset Lane boutique hotel and cooking school owned by renowned Chef Jacquie, who will invite the guests into her kitchen to help prepare lunch. Chef Jacquie shops daily from local organic farmers and will share her secrets for shopping and eating seasonally. Following a hands-on cooking demonstration, guests will enjoy local, seasonal favorites for lunch while overlooking the beachfront property. MIAMI (July 17, 2014) – Oceania Cruises announced an additional 180-day journey aboard the newly refurbished Insignia, scheduled to depart on January 4, 2016. Encouraged by the overwhelmingly positive response by guests to the first two 180-day cruises offered by Oceania Cruises, this newest voyage is the latest in a series that represents the longest and most comprehensive world exploration itineraries available in the cruise industry. MIAMI, Fla. (July 8, 2014) – Oceania Cruises and Artful Travelers are teaming up to host the world premiere for the highly anticipated new PBS documentary series, The Italian Americans. Guests sailing on this special 10-day "Enchanting Riviera" voyage departing Oct. 29, 2014, will have an opportunity to interact with producers, writers and directors involved in the development of this exceptional new series, all while traversing the Mediterranean and Italian coastline aboard the award-winning mid-size ship Riviera.

VANCOUVER, Canada (June 10, 2014) – Oceania Cruises welcomed Regatta back to the fleet following an extensive dry dock, making it the final ship of three sister ships to undergo a massive $50 million collective refurbishment. The ship set sail on a 10-night "Majesty of Alaska" voyage, signaling the beginning of another summer season in Alaska for Oceania Cruises. Sister ships Nautica and Insignia emerged from dry dock and reentered service last month. Renovating three ships from bow to stern in a six-week time period marks the largest refurbishment program in Oceania Cruises’ history.


The multimillion-dollar makeover brought many of the interior design elements from the award-winning Marina and Riviera ships to Insignia, Nautica and Regatta while maintaining the warmth, intimacy and charm Oceania Cruises' guests cherish in the 684-passenger ships. In addition to elegant new furnishings and décor for all public rooms, suites and staterooms, Regatta added several new guest experiences, including the ever-popular Baristas coffee bar, a cook-to-order grill at Terrace Café and new outdoor recreation on the Sports Deck.

  • Suites & Staterooms: There are significant updates to the Owner's and Vista Suites with an all-new bathroom design that is elegant, yet contemporary in nature. The bathroom features wall-to-wall marble with a decorative inlay centerpiece, along with an expansive granite vanity that sits opposite an inviting oversized shower. The Penthouse Suites received all-new furnishings, rich upholstery and a vibrant, yet calming palette that reflects the sea, sun and sky. All staterooms were appointed with new décor elements featuring a refreshing sense of style and elegance.
  • Terrace Café: The main casual dining option on board the ship is brand new from top to bottom. Barcelona, Spain (May 8, 2014) – Oceania Cruises welcomed Insignia back to the fleet this morning following a two-year charter and an extensive dry dock. Insignia is the first of three sister ships from Oceania Cruises to undergo a massive $50 million refurbishment. Nautica and Regatta are scheduled to enter dry dock and receive similar enhancements over the next four weeks. Renovating three ships from bow to stern in a six-week time period marks the largest refurbishment program in Oceania Cruises’ history.


The multimillion dollar makeover brings many of the interior design elements from the award-winning Marina and Riviera ships to Insignia, Nautica and Regatta while maintaining the warmth, intimacy and charm Oceania Cruises' guests cherish in the 684-passenger ships. In preparation for two special 180-day voyages, a version of the Artist Loft enrichment center was added exclusively to Insignia during the dry dock. The "Around the World in 180 Days" cruise departs from Miami on Jan. 10, 2015, and the "180 Day World Odyssey" sails from Miami on July 8, 2015.

MIAMI, April 23, 2014 – Oceania Cruises is adding some extra culinary sizzle to sailings this European season with new classes in the Bon Appétit Culinary Centers onboard Marina and Riviera and with two new Culinary Discovery Tours ashore.


Since opening on Marina in 2011, the Bon Appétit Culinary Center has offered guests the opportunity to expand their culinary skills while enjoying some good-natured fun. The culinary emphasis varies from regional specialties based on the ship's itinerary to comfort foods prepared in kitchens around the world, and classes are designed to cater to gastronomic novices and epicurean experts alike. New classes being offered on select Marina and Riviera sailings this season include:


  • Healthy Greek: Known as the birthplace of modern Mediterranean culinary trends, the island of Crete boasts some of the healthiest dietary lifestyles in the world. In this class, guests will master cooking techniques that transform seasonal ingredients into fresh, healthy and flavorful dishes.
  • Turkish Arabesque: A wonderful way to learn more about Turkey is to explore its cuisine. In this class, guests will learn about the elaborate palace kitchens, unique ingredients and culinary traditions of the Ottoman Empire while mastering recipes for delicious local delicacies.
  • Beyond Ratatouille: Inspired by Culinary Discovery Tours in Marseille and Nice, this class focuses on the magnificent cuisine of Provence. The class highlights favorite dishes of Oceania Cruises’ own Jacques Pépin as well as Guy Gedda, considered the godfather of Provençal cuisine.
  • Modern Nordic: The fresh, inventive dishes of Nordic restaurants like Noma and Geranium have changed the way the world views Nordic cuisine. Inspired by incredible destinations along the Baltic Sea, this class is devoted to favorite regional recipes ranging from hearty meat dishes to mouthwatering desserts.

In addition, Oceania Cruises is introducing two new Culinary Discovery Tours for Cork, Ireland, and Palma de Mallorca, Spain.


In Cork, guests will enjoy a day at a top culinary destination, Ballymaloe. This beautiful country estate has been converted into a world-renowned cooking school. Guests will tour the unique culinary and herb gardens, explore the free-range poultry farm and watch a cooking demonstration of a traditional Irish meal before stimulating their taste buds with seasonal dishes from the famous Cookery School Gardens.

MIAMI, February 25, 2014 –Today Oceania Cruises announces its 2015 Summer Collection featuring voyages to the Mediterranean, Northern Europe, Alaska, Canada, Asia and Africa. Reservations for the new voyages open for sale on March 5, 2014 at 8:30 a.m. Eastern.

The award-winning fleet of Regatta, Insignia, Nautica, Marina, and Riviera will offer a diverse collection of itineraries, with 24 exciting new ports of call on four continents during the 2015 summer season. Among the new ports are Luanda, Angola; Paamiut, Greenland; Trois-Rivières, Québec; Archangel, Russia; Skiathos, Greece; Londonderry, Northern Ireland; Wismar, Germany; and Palamós, Spain. Also new this season is a series of Grand Voyages in Europe. Ranging in length from 20 to 70 days, these longer itineraries offer guests multiple opportunities for extended exploration during the summer.

New Voyages
Nautica, Marina, and Riviera will set sail on 43 incredible European itineraries, 40 of which are new. Nautica will spend the majority of the season exploring the majesty of the British Isles, the Baltic and Scandinavia, sailing as far north as Greenland, while Marina will also explore the region before making her way around the Iberian Peninsula to embark on several cruises in the Western Mediterranean. Featuring all new itineraries, Riviera will call the Mediterranean, the Greek Isles, Turkey and the Black Sea home for the season. Regatta will spend the summer in Alaska offering her perennial favorite 7- and 10-day itineraries as well as five all new sailings, including the exciting 12-day Glacial Explorer. In the fall, she will sail for New York City on a new Panama Canal cruise and then showcase the autumn foliage with four cruises throughout New England and Canada.

Due to the overwhelming response to the line's first-ever world expedition unveiled last summer, Insignia will depart on a second 180-day voyage on July 8, 2015. Unlike conventional world cruises that commence in winter, this unique voyage will spend the summer sailing from Miami through New England and Canada to Greenland, Iceland and Norway. Insignia will then call on France, Portugal and Spain en route to Italy and other alluring destinations in the Mediterranean. As the winter season begins, the voyage will explore Asia and Africa before returning to Miami. Individual segments within the 180-Day World Odyssey will open for bookings with the launch of the 2015 summer season, as will Grand Voyages featuring various combinations of these itineraries.
